Content Assignment Agreement

Website Content Licence

By clicking “Accept”, you confirm that:

• you are entering into this agreement as the Licensor, and
• if you are acting on behalf of a company, organisation or other entity, you have full authority to bind that entity to these terms.

“You” therefore means you personally OR the organisation you represent, as applicable.

1. Grant of Licence

You grant Fix Radio Limited (“Fix Radio”) a non-exclusive perpetual licence to use, reproduce, modify, display, distribute and create derivative works from the content you provide (“Content”) on Fix Radio’s web properties and social platforms including, but not limited to, YouTube, fixradio.co.uk, Facebook, Instagram, TikTok, Threads, X, and any other platforms or distribution channels Fix Radio may use now or in the future (“Licensed Rights”).

This includes Fix Radio’s right to:

• display the Content on its website
• use excerpts of the Content in advertising and marketing
• create derivative works based on the Content
• enforce the Licensed Rights on your behalf where necessary

2. Restrictions on You (the Licensor)

You agree that you will not:

• license the same Content to any direct competitor of Fix Radio
• enter into any future agreements relating to the Content with any third parties, and will promptly forward any communications regarding the Content to Fix Radio
• promote or advertise the Content on any competitor’s website
• use Fix Radio’s marks on any competitor’s website

You also agree:

• that you waive any moral rights in the Content to the extent permitted by law
• to disclose, on request, how any AI or machine-learning tools were used in creating the Content
• not to use the Content to train any AI or machine-learning model, and not to allow anyone else to do so

3. Your Responsibilities

You confirm that:

• the Content is accurate and complete
• the Content does not infringe third-party rights or break any laws
• the Content does not contain harmful, illegal, obscene or defamatory material
• the Content does not contain malware or harmful code
• the Content has not been licensed to any other third parties
• all individuals appearing in the Content have consented to its use under these terms

4. Fix Radio’s Rights

Fix Radio may remove any Content if it reasonably believes the Content could create legal risk.

Fix Radio retains all rights in:

• its website
• its branding
• any derivative works it creates, including from the Content
• all visitor data collected

5. Marks

Each party keeps ownership of its own trademarks and branding (“Marks”).

You grant Fix Radio a royalty-free licence to use your Marks only as needed to display or promote the Content.

6. Liability

Nothing limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited by law.

Otherwise:

• you are responsible for losses caused by your breach of these terms
• Fix Radio is not liable for indirect or consequential losses

You indemnify Fix Radio for any claim that the Content infringes third-party rights.

7. Intellectual Property

• You retain ownership of the Content.
• Fix Radio retains ownership of its website, branding, derivative works it creates, and all visitor data.

8. Term and Termination

This licence begins when you click Accept and continues unless and until terminated by either party providing the other party  with at least five (5) months’ prior written notice.

Either party may terminate immediately if the other commits a material breach and does not fix it within 30 days of receiving notice in writing of such breach from the terminating party. 

Termination will have no effect on any prior use or treatment of the Content by Fix Radio, which may continue in perpetuity.

9. Additional terms

You acknowledge, understand, and agree to the additional terms and conditions displayed on the Fix Radio website, which are incorporated herein by reference and subject to change.

10. Confidentiality

Both parties must keep each other’s confidential information private, except where required by law. 

Fix Radio will maintain personal data confidentially and in accordance with all relevant data protection laws and the Privacy Policy available on Fix Radio’s website. You will inform Fix Radio if there are any changes to your personal details for the duration of this agreement.

You shall not release, or cause the release of, any information concerning the Licensed Rights, Fix Radio, or these terms.

11. Force Majeure

Neither party is liable for delays caused by events outside their reasonable control.

12. Governing Law

These terms are governed by the laws of England and Wales.
Any disputes will be handled exclusively by the courts of England and Wales.

By clicking Accept, you confirm that:

• you have read and understood these terms
• you agree to be bound by them
• you have authority to bind your organisation (if applicable)
